Finmeccanica comunica di aver completato le operazioni connesse all’accordo con la BAE Systems per l’acquisizione di alcune attività e partecipazioni nel settore dell’Elettronica per la Difesa e di avere definito con il gruppo britannico il riassetto della joint venture AMS NV.
L’accordo con la BAE Systems prevede la costituzione di una nuova società, SELEX Sensors and Airborne Systems Spa, detenuta al 75% da Finmeccanica e al 25% da BAE Systems, che raggrupperà le attività di Galileo Avionica e quelle di BAE Systems Avionics Ltd, società britannica di BAE Systems, attiva nel campo dell’elettro-ottica, dei radar aeroportati e della electronic warfare.
L’accordo prevede inoltre la cessione a Finmeccanica del settore comunicazioni militari e protette di BAE Systems ed il ritorno delle attività italiane della joint venture AMS sotto il pieno controllo di Finmeccanica. Il nuovo perimetro di tali attività include anche quelle della Air Traffic Management (ATM) e Air Traffic Control (ATC) di BAE Systems nel Regno Unito, Germania (Gematronik) e Stati Uniti (ASI).
In questo modo Finmeccanica completa il proprio portafoglio di competenze e di prodotti nel settore dell’Elettronica per la Difesa. L’acquisto di queste attività e partecipazioni determina un esborso netto di circa 515 milioni di euro, interamente finanziato con la cassa disponibile, in linea con gli obiettivi di solidità finanziaria e di stabilità del gruppo.

Finmeccanica today announced that it has concluded the operations relating to the agreement with BAE Systems for the acquisition of some assets and shareholdings in the defence electronics sector, and has also reached agreement with the British group for the reorganisation of the AMS NV joint venture.
The agreement with BAE Systems entails the creation of a new company, SELEX Sensors and Airborne Systems SpA, controlled 75% by Finmeccanica and 25% by BAE Systems, which will group the activities of Galileo Avionica together with those of BAE Systems Avionics Ltd, the UK-based company that operates in the field of electro-optics, airborne radar and electronic warfare.
The agreement includes also the transfer to Finmeccanica of BAE Systems’ military and secure communications business and the return of the Italian assets of AMS NV under the full control of Finmeccanica. The new perimeter will include Air Traffic Management (ATM) and Air Traffic Control (ATC) assets acquired from BAE Systems in the UK, Germany (Gematronik) and the US (ASI).
The transaction completes Finmeccanica’s portfolio of products and capabilities in the defence electronics sector. As of today, the net cash consideration paid by Finmeccanica for these assets and shareholdings is Euro 515 million, funded entirely through available cash while maintaining the group’s objectives of financial solidity and stability.
